AGREEMENT TO TERMS

These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and NomadLink ("we," "us" or "our"), concerning your access to and use of the TripPal application ("App").

By downloading, accessing, or using the App, you agree to be bound by these Terms and Conditions. If you disagree with any part of these terms, you may not access the App.

INTELLECTUAL PROPERTY RIGHTS

Unless otherwise indicated, the App is our proprietary property and all source code, databases, functionality, software, designs, audio, video, text, photographs, and graphics on the App (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights.

The Content and Marks are provided on the App "AS IS" for your information and personal use only. Except as expressly provided in these Terms and Conditions, no part of the App and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

USER REPRESENTATIONS

By using the App, you represent and warrant that:

You have the legal capacity and you agree to comply with these Terms and Conditions.
You are not a minor in the jurisdiction in which you reside.
You will not access the App through automated or non-human means.
You will not use the App for any illegal or unauthorized purpose.
Your use of the App will not violate any applicable law or regulation.

USER REGISTRATION

You may be required to register with the App. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.

USER DATA

Our App will maintain certain data that you transfer to the App for the purpose of the App's performance, as well as data relating to your use of the App. Although we perform regular routine backups of data, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the App. You agree that we shall have no liability to you for any loss or corruption of any such data, and you hereby waive any right of action against us arising from any such loss or corruption of such data.

We primarily store data on Firebase, which is a third-party service. By using the App, you consent to having your data stored on Firebase's servers.

SUBSCRIPTION

The App offers a free version as well as paid subscription options. By selecting a subscription plan, you agree to pay the subscription fee indicated. Subscription fees are non-refundable except as required by law. We reserve the right to change subscription prices upon notice.

THIRD-PARTY WEBSITES/SERVICES

The App may contain links to third-party websites or services that are not owned or controlled by us. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

The App integrates with Firebase, Sentry, OverPass-API, and a private currency converter API. By using the App, you acknowledge and accept the terms of service of these third-party services.

PRIVACY POLICY

Data Controller

NomadLink acts as the data controller for personal information collected through the TripPal app.

Information We Collect

We collect and process the following data:

Personal Information: Email address, first name, last name
Preferences: Default currency, app settings
Onboarding Information: How you found our App
User-Generated Content: Trip data, expenses, attachments, photos (only synchronized to our servers upon your explicit request)
Location Data: When using nearby services features (only processed when you activate these features)
Device Information: Device type, operating system, app version for troubleshooting and analytics

Legal Basis for Processing

We process your personal data on the following legal grounds:

Performance of Contract: To provide you with the app's functionalities
Legitimate Interest: To improve the app, maintain security, and prevent fraud
Consent: For specific features like location services and cloud synchronization
Legal Obligation: To comply with applicable laws and regulations

Right to Access: You can request copies of your personal data.

Data Sharing and International Transfers

We use third-party service providers to process your data:

Firebase (Google LLC): For cloud storage and authentication
Sentry: For app performance monitoring and error tracking
OverPass-API: For location-based services
Currency converter API: For currency conversion features

These providers may process data outside the European Economic Area (EEA). We ensure appropriate safeguards are in place through standard contractual clauses or adequacy decisions.

Data Retention

We retain your personal data only for as long as necessary to fulfill the purposes for which it was collected. Account information is retained while your account is active. User-generated content is retained until you delete it or request its deletion.

Data Security

We implement appropriate technical and organizational measures to protect your personal data against unauthorized or unlawful processing, accidental loss, destruction, or damage.

Cookies and Similar Technologies

Our app may use cookies or similar technologies to enhance your experience. You can manage your preferences for these technologies within the app settings.

Children's Privacy

Our services are not directed to individuals under the age of 16. We do not knowingly collect personal information from children under 16.

Changes to Privacy Policy

We may update our Privacy Policy from time to time. We will notify you of any changes by posting the new Privacy Policy in the app and updating the "Last Updated" date.

MODIFICATIONS AND INTERRUPTIONS

We reserve the right to change, modify, or remove the contents of the App at any time or for any reason at our sole discretion without notice. We also reserve the right to modify or discontinue all or part of the App without notice at any time.

We cannot guarantee the App will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the App, resulting in interruptions, delays, or errors. We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the App at any time or for any reason without notice to you.

CORRECTIONS

There may be information on the App that contains typographical errors, inaccuracies, or omissions, including descriptions, availability, pricing, and various other information. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information on the App at any time, without prior notice.

DISCLAIMER

THE APP IS PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE APP AND OUR SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE APP AND YOUR USE THEREOF.

LIMITATIONS OF LIABILITY

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE APP, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

INDEMNIFICATION

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of: (1) your use of the App; (2) breach of these Terms and Conditions; (3) any breach of your representations and warranties set forth in these Terms and Conditions; (4) your violation of the rights of a third party, including but not limited to intellectual property rights; or (5) any overt harmful act toward any other user of the App with whom you connected via the App.

USER DATA AND CONSENT

The App will collect and process data as outlined in our Privacy Policy section. By using the App, you acknowledge that you have read and understood our privacy practices.

For certain types of data processing, especially related to location services or optional features, we will ask for your explicit consent. You have the right to withdraw this consent at any time through the app settings.

We only process your personal data to the extent necessary to provide the services you have requested or consented to. Data minimization and purpose limitation are core principles of our data processing activities.

ELECTRONIC COMMUNICATIONS

By using the App, you consent to receiving electronic communications from us. These communications may include notices about your account and information concerning or related to the App.

GOVERNING LAW

These Terms and Conditions and your use of the App shall be governed by and construed in accordance with the laws of the European Union and your country of residence within the EU, without regard to its conflict of law principles.

CHANGES TO TERMS

We reserve the right to update or modify these Terms and Conditions at any time without prior notice. The updated version will be indicated by an updated "Revised" date. Your continued use of the App after any such changes constitutes your acceptance of the new Terms and Conditions.
